1. Parties
This Service Agreement (“Agreement”) is between A’Nya Hill, doing business as Project Sarae (“Designer,” “I,” or “me”) and the client named at checkout (“Client” or “you”). The Agreement starts on the date you sign it electronically at checkout (the “Start Date”).
2. Services
I will design, build, launch, host, and maintain a website for your business according to the plan you choose at checkout (Starter, Business, or Pro) and any add-ons you select. The features included in each plan are listed on the Pricing page as of your Start Date. Services include:
- A planning call to agree on your site’s pages, content, and goals.
- A first draft, delivered within a few hours to a few days after I receive payment and the content listed in Section 4.
- Up to two rounds of revisions before launch.
- Launch, hosting, and monthly updates up to your plan’s limit (Starter: 1, Business: 3, Pro: 8 per month). Unused updates do not roll over.
An “update” is a small change such as new hours, prices, menu items, photos, or wording. New pages, new features, and redesigns are not updates. I will quote them in writing before starting work.
3. Fees and payment
| Plan | Monthly | Yearly (2 months free) |
|---|---|---|
| Starter | $50 | $500 |
| Business | $80 | $800 |
| Pro | $120 | $1,200 |
- Setup fee: None. Your first plan payment is due at checkout.
- Add-ons: Customer accounts / member area $100 one time; Online store $150 one time.
- Billing: Plans renew automatically through Stripe on the same date each month (or year for yearly plans) until canceled as described below.
- Processing fees: Card processing fees charged by Stripe or Square on your own customers’ purchases are paid to those companies. I do not add hidden fees.
- Price changes: I will give you at least 30 days’ written notice before changing your plan price. You may cancel before the change takes effect.
4. Your responsibilities
- Provide your logo, photos, business hours, services, prices, and other content within a reasonable time. Delays in providing content may delay your draft.
- Confirm that you own or have permission to use everything you send me, including photos, text, and logos.
- Make sure the information on your site, such as prices, hours, and policies, is accurate. Review your draft before launch.
- Keep any account logins you hold (for example Stripe or your domain registrar) secure.
5. Term, minimum, and cancellation
- Minimum term: 3 months from the Start Date. After that, the Agreement continues month-to-month (or year-to-year for yearly plans).
- Canceling: After the minimum term, you may cancel anytime by email. Cancellation takes effect at the end of your current billing period. There are no partial refunds for a monthly period already started.
- Canceling during the minimum term: You remain responsible for the remaining months of the minimum term, unless I fail to deliver the services described here.
- Ending by me: I may end this Agreement with 30 days’ written notice. If I do, I will refund any prepaid fees for periods after the end date and help transfer your site files and domain.
6. Refunds
- For yearly plans canceled after the minimum term, I refund the unused full months, calculated at the yearly plan’s monthly rate (the yearly price divided by 12).
- Add-on fees are refundable until the add-on work begins.
See the Terms & Refund Policy for more detail.
7. Late or missed payments
If a payment fails, I will send reminders. After a 14-day grace period, I may pause your website until the balance is paid. Your content is kept while the site is paused. If a balance remains unpaid for 60 days, I may end this Agreement.
8. Ownership
- Your content: You keep ownership of all content you provide (text, photos, logos).
- Your domain: Any custom domain is registered in your name, and you keep it if you leave.
- Your website files: After the minimum term, if your account is paid in full, I will give you a copy of your site’s files when you cancel, and you may use them however you like.
- My tools: I keep ownership of my general templates, code, and design methods. You receive a permanent license to use them as part of your website.
- Portfolio: I may show your website in my portfolio unless you ask me not to in writing.
9. Third-party services
Your site may use outside services such as Stripe, Square, Cloudflare, Supabase, booking tools, or chat tools. Those services have their own terms and fees. I am not responsible for their outages, policy changes, or decisions, but I will work with you to fix any problems they cause on your site.
10. No guarantees
I will set up your site to help customers find you, but I cannot guarantee search rankings, website traffic, sales, or uninterrupted uptime.
11. Limit of liability
To the extent allowed by law, my total liability under this Agreement is limited to the fees you paid me in the 3 months before the claim. Neither party is liable for indirect or lost-profit damages.
12. Confidentiality
I will keep private any non-public business information you share with me and use it only to provide the services.
13. General
- This Agreement is governed by the laws of the State of Alabama.
- We will try to resolve any disagreement by talking first, in good faith.
- Changes to this Agreement must be in writing (email is fine) and agreed to by both of us.
- If any part of this Agreement is found unenforceable, the rest still applies.
- Typing your name and checking the agreement box at checkout is your electronic signature and has the same effect as a handwritten signature.
